Trees S.A. (the Issuer) is a public limited liability company (société anonyme) incorporated under the laws of the Grand Duchy of Luxembourg, having its registered office at 46A avenue John F. Kennedy, L-1855 Luxembourg and registered with the Luxembourg trade and companies register under number B 78457.

The Issuer has been established as a special purpose vehicle for the purpose of issuing asset backed securities having adopted the form of a public limited liability company (société anonyme) incorporated under the laws of the Grand Duchy of Luxembourg. The Issuer's activities are subject to the Securitisation Act 2004 and the Issuer is a regulated entity within the meaning of the Securitisation Act 2004. Copies of the Articles of Association as at the date of this document have been lodged with the Luxembourg trade and companies register (Registre de commerce et des sociétés, Luxembourg).
